Bonotel Exclusive Travel's General Terms and Conditions

1. THESE TERMS AND CONDITIONS SHALL SUPPLEMENT THE CUSTOMER AGREEMENT BETWEEN BONOTEL EXCLUSIVE TRAVEL ( “BONOTEL” ) AND YOU ( “CUSTOMER” ). BY ACCESSING BONOTEL’S WEBSITE AND/OR BONOTEL’S DIRECT CONNECT XML INTERFACE, CUSTOMER AGREES TO BE BOUND BY THESE TERMS AND CONDITIONS.
   
   
2. Applicability. All bookings made through Bonotel are subject to the terms and conditions stated herein.
3. Rates. All rates quoted are confidential, net non-commissionable, in U.S. Dollars, and include all applicable taxes. Until a booking is confirmed by the Service Provider, rates are subject to increase due to factors beyond Bonotel’s control, including, but not limited to, tax increases, previously unknown blackout dates, holidays, and/or special events. Bonotel reserves the right to change rates as a result of the foregoing. Customer shall not be entitled to any refund or rebate in the event that Bonotel's rate is higher than a Service Provider's official rack rate. As used in these Terms and Conditions, "Service Providers" shall mean hotels, restaurants, tour operators, shows, and any other unaffiliated third parties for whose services Bonotel provides booking access.
4. Booking Errors. Bonotel reserves the right to cancel any booking due to clerical or technical errors beyond Bonotel’s control, including, but not limited to, misinformation provided to Bonotel by a Service Provider. In the event a booking is canceled pursuant to this Section, Bonotel shall refund all monies paid for the affected booking.
5. Canceled Inclusions. Bonotel is not liable if, after booking confirmation, a Service Provider cancels a service that was to be included (e.g., breakfast). No refunds will be given for such cancellation or non-use by the guest.
6. No Agency. Bonotel is an independent third-party and is not an agent of, joint venture with, or partner in any capacity with the Service Providers...
7. No Liability. Bonotel shall not be liable for, and Customer releases Bonotel from, any and all liability for injury, damages, or losses arising from or related to the actions of a Service Provider. Bonotel recommends that Customers and/or their end-user guests purchase appropriate insurance.
8. Service Provider Withdrawal. In the event a Service Provider withdraws from Bonotel, Bonotel will notify Customer and suggest an adequate replacement. Bonotel shall not be liable for any such withdrawal.
9. Force Majeure. Bonotel shall not be held responsible for the consequences of Acts of God, fire, severe weather conditions, unavoidable accidents, theft, labor disputes, public commotion, war, cyber attacks, pandemics, government actions, or any other circumstance beyond Bonotel’s control.
10. Special Policies and Bookings. For any special bookings, including, but not limited to, triple and quad occupancies... Please see individual Service Providers’ terms and conditions for full details.
11. Business-to-Business; Leisure Travel Only. Any unauthorized distribution... Bonotel's normal cancellation policies shall apply to any booking canceled pursuant to this section.
12. Changes to Confirmed Bookings. Bonotel reserves the right to deny any kind of change or modification... A fee of Twenty-Five U.S. Dollars ($25.00) will be charged by Bonotel for any changes that Bonotel is requested to make to an existing booking.
13. Complaints. All complaints by Customer’s clients should first be addressed to the individual Service Provider... Bonotel will not accept a dispute if adequate backup is not submitted.
14. Cancellation and No-Show Policies. For all cancellations, Bonotel’s reservation department will fax or email a cancellation confirmation... A "No Show" by the Customer’s end user is considered a cancellation without notice and may result in cancellation fees up to 100% of the reservation cost.
15. Direct Billing Policies. This section applies only to Customers with a floating deposit... the terms of the Payment Terms Agreement shall govern.
16. Prepayment Required. This section applies to Customers not enrolled in Bonotel’s Direct Billing program... Any booking for which payment is not received within the required period will be canceled and applicable fees will apply.
17. Payment Information. All payments are due in U.S. Dollars. Payment may be made as follows:

18. Amendments. These Terms and Conditions are subject to change without notice... No change to these Terms and Conditions is effective unless officially authorized in writing by a duly authorized Bonotel executive.
19. Governing Law; Dispute Resolution; Venue; Attorneys’ Fees. These Terms and Conditions are governed exclusively by the laws of the State of Nevada... Additional attorneys’ fees may be awarded in any appellate action.
20. Severability. If any provision or application of these Terms and Conditions is ruled invalid or unenforceable... shall be interpreted so as to best effectuate these Terms and Conditions.
21. No Waiver. No failure by Bonotel to require strict performance of any provision... nor affect Bonotel’s right thereafter to enforce strict compliance with each provision herein.
22. No Third Party Rights. No provision of these Terms and Conditions is intended to provide or create any third-party beneficiary rights...
23. Travel Restrictions. Customer acknowledges that travel restrictions may exist for locations... Bonotel shall not be responsible or refund any bookings canceled for failure to comply with travel restrictions.
24. Responsibility for User Administration. Customer acknowledges and agrees to be fully responsible for supervising... Customer is responsible for the actions of all Users.
